The terms herein are applicable and controlling to all VanGuard Graphics, Ltd, commercial transactions unless specifically nullified in parts or whole by other written agreements that VanGuard Graphics, Ltd, elects to enter.

PAYMENT:

Billing for services is prospective, meaning that payment is in advance of the provisioned services. Unless the invoice terms provide otherwise, payments are due on receipt of services, or, for ongoing services, on the first day of the month that represents the next service / billing cycle. Online single and recurring payments are available. Although we utilized encryption security services and reasonable measures to ensure the safety of your information, you shall hold us blameless in the unlikely event your personal data is compromised or misused by a third party.

PRICING AND FEES:

VanGuard Graphics, Ltd, reserves the right to adjust prices in relation to its business objectives, changes in services, costs, and other factors, with thirty (30) days advanced, written notice to its customers. The date of payment is determined as (a) online payments (same day) and (b) mailed payments (date of postmark, or 3 days before delivery date, whichever is greater).

Late Fees - Past Due payments are subject to "Late Fees" as follows:

-------- 31st day Past Due: Credit Collection Referral (If Service is to be Restored: Late Fees + $5.00 Activation Fee.)

*SUSPENSION / TERMINATION OF SERVICE:

At all times VanGuard Graphics, Ltd, reserves the right to deny, suspend or terminate the provisioning of services under this Agreement for violations thereof, or for any lawful reason deemed appropriate within its broad discretion. Reasons for interruption of services may include, but are not limited to, an outstanding bill, related or unrelated to an(y) account(s) being suspended, determinations that an account is engaged in unlawful acts, or is used to incite or aide, directly or indirectly, unlawful acts or actors, SPAMMING, or quasi-illegal content. Account fees and service charges shall freeze on the date of suspension. Normal billing will resume on the date when the account balance is made current. If you have failed to back up site files to a personal storage device, you may request that a compressed archive of your site files be provided to you on CD, by e-mail attachment, or by a secured download link. Provisioning of site files is contingent upon clearing past balances and paying a site backup fee. ACCOUNTS are TERMINATED and ALL RELATED CONTENT thereof are permanently DELETED 30 days subsequent to suspension.

REFUNDS:

A full refund is due if cancellation of service is requested within two (2) weeks of purchase date. Thereafter, refunds shall be prorated on a daily-basis from the date of purchase, less late fees or penalties, if applicable.

OWNERSHIP:

The account-holder is the owner of all electronic data stored on VanGuard''s server(s) relative to their account(s). You are wholly responsible for the content of your site(s), database(s) and emails sent and received. You shall hold blameless VanGuard Graphics, Ltd, its employees, agents, contractors, and partners for (a) loss of data, (b) worm, virus, or malware infection and resultant damages, if any, on your or anyone''s computer system, (c) reasonable scheduled and unscheduled downtime, and (d) software performance failures. Unless you have contracted for site maintenance services, you are solely responsible to backup your files, including your database files, if applicable.

JURISDICTION:

The court of jurisdiction in all and any disputes, unless otherwise agreed to in writing, shall be in the State of Ohio, County of Franklin. Any part of this Agreement that is adjudicated by a Court of proper Jurisdiction to be unenforceable within the law, shall not, per se, impair or render the remaining parts of this Agreement null or void.

TRANSMITTAL:

For the puproses of communication, e-mail shall be deemed sufficient regarding any notices relative to the services covered under these TOS. It is incumbant upon the sender to ensure that their e-mail message has been properly delivered to the intended address. REVISIONS:

To comply with changes in law or for any reason deemed appropriate by VanGuard Graphics, Ltd, we shall freely revise this agreement without limit. Revisions will impact you prospectively, from the revision date forward. Your agreement to comply with any updates and revisions to the TOS is implied by (1) your pre-existing consent to these TOS, this present section inclusive, and (2) your continued participation as an account holder or, otherwise, recipient of services. Notices of changes shall be sent to the admin email address on record for your account; therefore, it is your responsibility to maintain current and accurate account profile information.

Revision 1.0 : This Terms of Service Agreement is Effective, prospectively, on this, the 5th Day of March, 2009.
