PREAMBLE:

By completing this online transaction you must affirm that you have read, understood, and agreed to the VanGuard Graphics, Ltd, Terms of Service (TOS).  If you do not agree with or understand the TOS, then do not complete your transaction.  (Please contact us with your questions about the TOS.)  The purpose of our TOS Agreement is to establish expectations and reveal our mutual rights and obligations in open, plain language.

REFUNDS:

A full refund is due if cancellation of service is requested within two (2) weeks of purchase date.  Cancellation MUST BE IN WRITTEN FORM (FAX, E-mail to This e-mail address is being protected from spambots. You need JavaScript enabled to view it , or regular US Mail to PO Box 130, Pickerington, OH 43147).  Thereafter, refunds shall be prorated on a daily-basis from the date of purchase, less late fees or penalties, if applicable.

PAYMENT:

Billing for services is prospective, meaning that payment is in advance of the provisioned services.  Payments are due on the first day of the month that represents the next service / billing cycle. 

PRICING AND FEES:

VanGuard Graphics, Ltd, reserves the right to adjust prices in relation to its business objectives, changes in services, costs, and other factors, with thirty (30) days advanced, written notice to its customers.

The date of payment is determined as (a) online payments (same day) and (b) mailed payments (postmark, or 3 days before delivery date, whichever is greater).

Late Fees - Past Due payments are subject to "Late Fees" as follows:

-------- 31 to 45 days Past Due: $10.00 (or)
-------- 46th day Past Due: *Suspension of Services (Late Fee + $5.00 Activation Fee)

*SUSPENSION / TERMINATION OF SERVICE:

At all times VanGuard Graphics, Ltd, reserves the right to suspend or terminate the provision of services under this Agreement, for violations thereof, or for any reason within deemed appropriate within its broad discretion.  Reasons for interruption of services include, but are not limited to, determinations that an account is engaged in unlawful acts, or is used to incite or aide, directly or indirectly, unlawful acts or actors, SPAMMING, or quasi-illegal conent.   A fee of $10.00 applies to re-instatement of Hosting account services in the event of a suspension or cancellation.

OWNERSHIP:

The account-holder is the owner of all electronic data stored on VanGuard's server(s) relative to their account(s).  You are wholly responsible for the content of your site(s), database(s) and emails sent and received.  You shall hold blameless VanGuard Graphics, Ltd, its employees, agents, contractors, and partners for (a) any loss of data, (b) worm, virus, or malware infection and resultant damages, if any, on your or anyone's computer system, (c) reasonable scheduled and unscheduled downtime, and (d) software performance failures.  Unless you have contracted for site maintenance services, you are solely responsible to backup your files, including your database files, if applicable.

JURISDICTION:

The court of jurisdiction in all and any disputes, unless otherwise agreed to in writing, shall be in the State of Ohio, County of Franklin.  Any part of this Agreement that is adjudicated by a Court of proper Jurisdiction to be unenforceable within the law, shall not, per se, impair or render the remaining parts of this Agreement null or void.


Revision 1.0 : This Agreement is Effective on this, the 5th Day of March, 2009, and Forward.
